Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 29, 2023, Board member James Crandell notified NOW Inc. (the “Company”) of his intention to retire from the Company’s Board of Directors, effective at the expiration of his current term on the date of the Company’s upcoming 2023 annual meeting of stockholders, currently scheduled for May 24, 2023. Mr. Crandell will therefore not stand for reelection at the upcoming 2023 annual meeting of stockholders. Mr. Crandell is not retiring due to any disagreement with the Company or any of its affiliates on any matter relating to the Company’s operations, policies or practices.

The Company and its Board of Directors thank Mr. Crandell for his dedicated service to the Company.
